Board Governance
Schedule board meetings, compile minutes as a PDF, record resolutions and their vote tallies, run the conflict-of-interest register and build board packages in Muin.
Board Governance is the four screens that keep your board’s record straight: meetings, resolutions, the conflict-of-interest register, and the templates your board packages are built from.
When you’d use this
- A board meeting just finished and the minutes need writing up and filing.
- Form 990 Part VI asks whether you monitor your conflict-of-interest policy annually, and you need the evidence.
- A resolution was passed and the vote needs recording with who proposed and seconded it.
- Every board pack looks slightly different and you want one structure.
Board meetings
Board Meetings has no sidebar row. Reach it from Nonprofit Overview (the governance card) or from a board member’s own record under People → the person → Board Member.
- Click Schedule Meeting and fill in: Title, Date, Time, Location, Meeting Type (Regular, Special, Annual or Emergency), Virtual Meeting Link and Agenda.
- Filter the list with All Meetings and All Types.
- Open a meeting and click Compile Minutes to auto-generate the minutes from that meeting’s recorded resolutions. Muin renders a branded PDF, stores it as a document on the meeting, and keeps the text alongside it.
- Click View Minutes to open the PDF afterwards.
- If quorum was recorded on the meeting, it appears on the minutes as its own line.
Compile the minutes after the resolutions are in. The minutes are built from them, so compiling first produces a thin document.
Resolutions
- Click Create Resolution and fill in: Resolution Number, Title, Description, the Meeting it belongs to, Proposed By and Seconded By.
- Click Record Vote and enter the Vote Result, Votes For, Votes Against and Votes Abstain.
- When a resolution moves to passed and has no signature document yet, Muin starts the signature flow for it automatically.
Two things to know. The tallies are stored as you type them: Muin does not reconcile them against the attendee list or against the result you chose, so an inconsistent tally will be saved. And quorum is recorded on the meeting rather than calculated, so record it deliberately.
Conflict-of-interest register
The register answers one question: who on the board has filed this year’s disclosure, and who has not. Form 990 Part VI line 12 is why it exists, which is why it is reached from the Form 990 workspace rather than from the menu.
- Open Conflict-of-interest register at
/nonprofit/board/coi-register, or from the Form 990 workspace. - Four tiles tell the story: Filed for FY{year}, Still outstanding (“Have not returned a disclosure”), Signed and clear (“Disclosure on file”), Recused (“Standing down from named matters”).
- The table shows Role · Disclosure · Conflict declared · Filed on. Disclosure is Not filed, Filed or Recused.
- Conflict declared is deliberately three-state: Declared, None declared, or a dash when the question has not been answered. An unfiled disclosure is never rendered as a clean one.
- Search a director by name, or filter by status: Every director, Has not filed, Has filed, Recused.
- Click the reminder action to nudge everyone outstanding. The result is reported honestly:
- “Reminded N directors.”
- “N reminders sent; N could not be delivered.”
- “Everyone outstanding has already been reminded for FY{year}.”
- “Every director has already filed: nobody to remind.”
A director counts as having filed once their signed disclosure comes back, or once a recusal is recorded for them.
The register holds state, not text: it records that a conflict was declared, never what the conflict was.
Board package templates
- Go to Sidebar → Nonprofit → Governance → Package Templates.
- Click New Template and give it a Template Name, a Description and its Sections as a comma-separated list.
- Use Delete Template to retire one.
A template defines the structure of your board packages, so every pack arrives in the same order.
What it affects
- Compiled minutes become a document on the meeting, which is what an auditor or a successor secretary reads.
- A resolution passing starts its signature flow.
- The conflict-of-interest register is the evidence behind the Form 990 Part VI governance answer.
- Board package templates shape the packages generated from grant disbursements (see Grants).
- A passed board resolution is required before a disbursement batch can run.
When it goes wrong
| What you see | What it means | How to clear it |
|---|---|---|
| “Could not open minutes PDF” | The compiled document could not be fetched. | Compile the minutes again, then reopen. |
| “No minutes compiled yet. Generate them from this meeting’s recorded resolutions.” | Compile has not been run for that meeting. | Record the resolutions first, then click Compile Minutes. |
| “No resolutions found” / “No meetings found” | Nothing matches your filters. | Reset All Meetings and All Types. |
| “Invalid vote result: {x}” | The vote result is not one Muin recognizes. | Pick a result from the list rather than typing one. |
| “Failed to load templates. Please try again.” | The service did not answer. | Reload the page. |
| “No active directors” on the register | No board members are on record, so there is nothing to track. | Add board members under Board of Directors. |
| “No directors match” | Your search or status filter excludes everyone. | Clear the search and set the filter to Every director. |
Next step
- Grants and disbursements: sending disbursements to the board for review.
- Form 990 questionnaire: the governance questions this evidence answers.
- Tax 990 preparation: the workspace the register is read from.
